This Website is operated by CHIMI ART to provide general information about our chemical products and services. All product specifications, technical data, safety information, application guidelines, and other content on this Website are provided for informational purposes only.
No reliance: Nothing on this Website constitutes a contractual specification, a representation of current product conformance, or a safety instruction for a specific application. Users must not rely on Website content as a substitute for current Technical Data Sheets (TDS), Safety Data Sheets (SDS), or written specifications issued under an applicable sale contract. CHIMI ART accepts no liability for any decision made or action taken on the basis of Website information.
CHIMI ART grants users a limited, revocable, non-exclusive, non-transferable license to access and view this Website for the purpose of obtaining general information about our products and services. This license may be revoked at any time without notice.
2. Product Information
While CHIMI ART endeavors to keep product specifications, pricing, and availability information current, such information is subject to change. Changes apply prospectively only and do not affect confirmed orders already accepted by CHIMI ART in writing.
Technical Data Sheets (TDS) and Safety Data Sheets (SDS) available on this Website are provided for general reference. They may not reflect the most current version applicable to a specific product batch or order. Users must request the current TDS and SDS from CHIMI ART's technical team before use in any application. In all cases, the TDS and SDS issued with or referenced in a specific sale contract supersede any version published on this Website.
Pricing indicated on this Website, where shown, is indicative only and does not constitute a binding offer. Binding pricing is confirmed only in a written quotation or order confirmation issued by CHIMI ART.
3. Quotations, Orders, and Contract Formation
Online quote requests, sample requests, and any other inquiries submitted through this Website are non-binding inquiries only and do not constitute an offer or a binding contract.
A binding contract for the sale of CHIMI ART products is formed only upon CHIMI ART issuing a written Order Confirmation to the buyer. Until a written Order Confirmation is issued, no order is binding on CHIMI ART regardless of any prior communications, price discussions, or expressions of intent.
All orders are subject to CHIMI ART's Standard Terms and Conditions of Sale in effect at the date of the Order Confirmation. A copy of the Standard Terms and Conditions of Sale is available upon request prior to placing any order. By placing an order, the buyer confirms they have received and accepted those Standard Terms and Conditions of Sale.
Pricing is provided on a per-inquiry basis and may vary by product, grade, volume, packaging, destination, and prevailing raw material costs. No price communicated on this Website or in a preliminary discussion constitutes a firm offer.
4. Intellectual Property
All content on this Website — including text, images, photographs, logos, product names, trade names, technical documentation, and formatting — is the property of CHIMI ART or its licensors and is protected by applicable intellectual property laws.
CHIMI ART™ is a trademark used by CHIMI ART in connection with its products and services. Use of the CHIMI ART trademark or any other CHIMI ART brand elements without prior written permission is prohibited.

5. Limitation of Liability
5.1 Website Information
THE INFORMATION PROVIDED ON THIS WEBSITE IS MADE AVAILABLE "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. CHIMI ART EXPRESSLY DISCLAIMS ALL WARRANTIES WITH RESPECT TO WEBSITE CONTENT, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, COMPLETENESS, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHIMI ART SHALL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM OR IN CONNECTION WITH THE USE OF, OR RELIANCE ON, INFORMATION PUBLISHED ON THIS WEBSITE, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY, EVEN IF CHIMI ART HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
5.2 Chemical Product Use
Chemical products must be handled, stored, and used strictly in accordance with the applicable Safety Data Sheet (SDS) and all applicable laws and regulations. Failure to follow SDS instructions may result in serious injury, death, property damage, or environmental harm. Users are solely responsible for determining the suitability of any CHIMI ART product for their intended application and for ensuring compliance with all applicable health, safety, and environmental regulations.
5.3 Product Liability
CHIMI ART's liability with respect to products sold is governed exclusively by the Standard Terms and Conditions of Sale applicable to the relevant sale contract and, where applicable, the warranty provisions in Section 10 of these Terms to the extent they apply in the absence of a written sale contract. Nothing in this Section 5 limits or modifies any liability cap or warranty limitation set out in an executed sale contract.
6. Minimum Order Quantities
Orders for CHIMI ART products are subject to minimum order quantities (MOQs). The following are indicative default MOQs; binding MOQs applicable to a specific order are those stated in the applicable written quotation or Order Confirmation:
- Liquid products (drums): minimum 1 pallet (4 drums / 800 L)
- IBC containers: minimum 1 IBC (1,000 L)
- Bulk tanker deliveries: minimum 20 metric tonnes
- Powder products: minimum 1 pallet (40 bags × 25 kg = 1,000 kg)
Minimum order quantities may be waived for first-time trial orders at CHIMI ART's sole discretion. Current MOQs applicable to a specific product and destination are confirmed in each written quotation.
7. Payment Terms
Payment terms applicable to a specific order are agreed and confirmed exclusively in the applicable written quotation or Order Confirmation issued by CHIMI ART, subject to CHIMI ART's credit assessment. Payment terms are not published generally on this Website.
All invoices are denominated in USD or EUR unless otherwise agreed in writing in the applicable sale contract.
8. Shipping and Delivery Terms
All shipments from CHIMI ART are governed by the Incoterms® 2020 rules published by the International Chamber of Commerce (ICC). Applicable delivery terms for each shipment are confirmed in the Order Confirmation.
Standard delivery terms available from CHIMI ART include:
- EXW (Ex Works) — 6th of October City, Egypt: Goods are made available at CHIMI ART's warehouse; the buyer assumes all risk, cost, and responsibility for loading, export formalities (including obtaining all Egyptian export licenses and permits), transportation, and insurance from that point. Buyers are responsible for ensuring compliance with Egyptian export regulations.
- FOB (Free on Board) — Port of Alexandria or Port of Damietta, Egypt: Risk of loss or damage to the goods transfers to the buyer when the goods are placed on board the vessel nominated by the buyer at the named Egyptian port of loading. Buyers are responsible for marine cargo insurance from the point of FOB risk transfer.
- CIF (Cost, Insurance, and Freight) — Named Destination Port: CHIMI ART arranges and pays for freight and marine insurance to the named port of destination. Risk transfers to the buyer when the goods are placed on board the vessel at the port of shipment.
All stated delivery dates and lead times are estimates only. Time is not of the essence with respect to delivery dates, and CHIMI ART shall not be liable for losses arising from delivery delays unless caused by CHIMI ART's gross negligence or willful misconduct. CHIMI ART shall not be liable for delays caused by force majeure events (see Section 9), port congestion, carrier failure, or customs clearance delays.
9. Force Majeure
Neither CHIMI ART nor the buyer shall be liable for any failure or delay in performance of obligations under a sale contract or these Terms to the extent such failure or delay results from circumstances beyond that party's reasonable control ("Force Majeure Event").
Force Majeure Events include but are not limited to:
- Shortages of, or material price spikes in, chemical precursors or raw materials (including sulfuric acid, bauxite, and iron ore);
- Government export restrictions, import bans, sanctions, trade embargoes, or customs actions affecting the products or their components;
- Disruption to the Suez Canal, major international shipping routes, or port operations;
- Natural disasters, floods, fires, earthquakes, or extreme weather events;
- Epidemics, pandemics, or quarantine restrictions declared by competent public health authorities;
- Power outages, utility failures, or infrastructure disruptions at manufacturing or storage facilities;
- Labor disputes, strikes, lockouts, or civil unrest (whether or not involving CHIMI ART's own workforce); and
- Regulatory changes requiring reformulation, re-testing, or recertification of the products.
Notice: The party affected by a Force Majeure Event must notify the other party in writing (by email to the designated commercial contact on record, with confirmation requested) within seven (7) calendar days of becoming aware of the event. Notice must describe the event, its anticipated duration, and the affected obligations. The affected party must use commercially reasonable efforts to mitigate the impact of the Force Majeure Event and resume performance as soon as practicable.
Allocation of costs for in-transit goods: If a Force Majeure Event occurs after goods have been placed in the custody of a carrier for shipment, risk and payment obligations are governed by the applicable Incoterms delivery term. Goods for which title and/or risk have already transferred to the buyer are for the buyer's account. Unshipped goods for which a Force Majeure Event prevents manufacture or delivery are subject to mutual agreement or cancellation without penalty as provided below.
Termination: If a Force Majeure Event continues for more than ninety (90) consecutive days and the parties have not agreed an alternative arrangement, either party may terminate the affected order(s) without penalty by providing written notice to the other. Termination under this clause does not affect obligations already performed or amounts already due.
10. Product Warranty and Limitations
10.1 Warranty
CHIMI ART warrants that its products, at the time of shipment from CHIMI ART's facility, conform to the specifications stated in the applicable Technical Data Sheet (TDS) in effect at the date of shipment ("Warranty").
10.2 Warranty Void
This Warranty is void and CHIMI ART has no liability for product non-conformance if:
(a) Products are stored outside the conditions (temperature, humidity, containment) specified in the applicable TDS or SDS; (b) Products are used after their stated shelf life has expired; (c) Products are mixed, blended, or combined with incompatible chemicals or substances without CHIMI ART's prior written approval; (d) Products are used for applications not recommended in the applicable TDS, or in concentrations, temperatures, or conditions outside those specified; or (e) Products have been modified, diluted, or otherwise altered from the state in which they were shipped.
10.3 Warranty Period and Claim Notice
Claims under this Warranty must be made in writing to CHIMI ART within the following periods from the date of delivery of the products:
- Visible non-conformance (identifiable by reasonable inspection on receipt): within thirty (30) calendar days of delivery.
- Latent conformance defects (not reasonably discoverable on delivery inspection): within ninety (90) calendar days of delivery.
Claims must be submitted in writing to info@chimiart.com and must include: (i) order number and batch/lot number; (ii) description of the alleged non-conformance; and (iii) supporting documentation (Certificate of Analysis from an accredited independent laboratory, photographs, or other objective evidence of non-conformance). Claims not submitted within the applicable period, or without supporting documentation, are waived.
10.4 Exclusive Remedy
Subject to CHIMI ART's confirmation that a valid warranty claim has been substantiated, CHIMI ART's sole obligation is, at CHIMI ART's election, either: (a) replacement of the non-conforming product with conforming product; or (b) issuance of a credit note for the purchase price of the non-conforming product. This replacement or credit constitutes CHIMI ART's sole and exclusive obligation and Buyer's sole and exclusive remedy for any product non-conformance under this Warranty or otherwise under these Terms.
10.5 Exclusion of Consequential and Other Damages
IN NO EVENT SHALL CHIMI ART BE LIABLE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, FOR ANY:
- CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, BUSINESS, OR ANTICIPATED SAVINGS;
- PLANT DOWNTIME, PRODUCTION LOSSES, OR COSTS OF SUBSTITUTE PRODUCTS;
- ENVIRONMENTAL CONTAMINATION, CLEANUP COSTS, OR REGULATORY FINES;
- THIRD-PARTY CLAIMS ARISING FROM BUYER'S USE OF THE PRODUCTS;
ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR ANY SALE OF PRODUCTS, EVEN IF CHIMI ART HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THE EXCLUSIVE REMEDY PROVIDED IN SECTION 10.4 IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
10.6 Buyer's Responsibility
Users and buyers are solely responsible for conducting appropriate testing to determine the suitability of CHIMI ART products for their specific applications, processes, and regulatory requirements. CHIMI ART does not warrant the fitness of any product for any particular purpose or application not expressly stated in the applicable TDS.
11. Governing Law and Jurisdiction
11.1 Governing Law
These Terms, and any sale contracts incorporating these Terms or CHIMI ART's Standard Terms and Conditions of Sale, are governed by and construed in accordance with the laws of the Arab Republic of Egypt, including the Egyptian Civil Code (Law No. 131 of 1948) and the Egyptian Commercial Code (Law No. 17 of 1999), without reference to any choice-of-law rules that would result in the application of another jurisdiction's law.
11.2 Exclusion of CISG
The United Nations Convention on Contracts for the International Sale of Goods (Vienna, 1980) (the "CISG") is expressly excluded from and shall not apply to these Terms or to any sale of products by CHIMI ART, including sales to buyers whose places of business are in CISG contracting states.
11.3 Jurisdiction
The courts of Cairo, Arab Republic of Egypt shall have exclusive jurisdiction over any dispute, controversy, or claim arising out of or in connection with these Terms or any sale of CHIMI ART products, and each party submits to the personal jurisdiction of those courts.
12. General Provisions
12.1 Severability If any provision of these Terms is held by a court to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity and enforceability of the remaining provisions.
12.2 Language These Terms are published in English and Arabic. In the event of any inconsistency between the English and Arabic versions, the English version shall prevail except where mandatory local law requires otherwise.
12.3 Entire Agreement (Website Use) These Terms constitute the entire agreement between CHIMI ART and the user with respect to access to and use of this Website. They supersede all prior discussions, representations, and understandings regarding Website use. For the avoidance of doubt, these Terms do not constitute or form part of any sale contract; sale contracts are governed by CHIMI ART's Standard Terms and Conditions of Sale.
12.4 Amendments CHIMI ART may update these Terms at any time. The updated Terms will be published on this Website with a revised Effective Date. Continued use of the Website after the publication of updated Terms constitutes acceptance of the changes.
12.5 Waiver CHIMI ART's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of CHIMI ART's right to enforce it at a later time.
12.6 Privacy Our collection and use of personal data in connection with this Website is described in our Privacy Policy, which is incorporated into these Terms by reference.
